These Terms & Conditions (“Terms”) govern your access to and use of mobile applications, websites, and related services developed or operated by MRH Labs (“MRH Labs,” “we,” “us,” or “our”).

These Terms currently apply to:

By downloading, accessing, creating an account for, or using an MRH Labs application or service, you agree to these Terms. If you do not agree to these Terms, you should not use our applications or services.

1. Our Applications

MRH Labs develops applications intended to provide useful, entertaining, organizational, social, productivity, and lifestyle tools.

Features may vary between applications and may be modified, added, or removed over time.

We may update our applications to improve functionality, security, compatibility, design, or user experience.

2. Eligibility

You may use MRH Labs applications only if you are legally permitted to enter into these Terms and use the applicable service under the laws of your jurisdiction.

If you are under the age at which you can legally agree to these Terms independently, you may use our services only with the permission and supervision of a parent or legal guardian where required by law.

3. User Accounts

Certain MRH Labs applications may allow or require you to create an account.

You agree to provide accurate information and to keep your account credentials secure.

You are responsible for activity occurring through your account to the extent permitted by applicable law.

You may not impersonate another person, create an account using information you are not authorized to use, or use another person's account without permission.

We reserve the right to suspend or terminate accounts reasonably believed to be fraudulent, abusive, unlawful, or in violation of these Terms.

4. Acceptable Use

You agree not to use an MRH Labs application to:

• Violate applicable laws or regulations

• Infringe another person's intellectual-property or privacy rights

• Harass, threaten, abuse, or impersonate another person

• Upload malicious software or harmful code

• Attempt to gain unauthorized access to our systems or another user's account

• Interfere with the normal operation of an application

• Circumvent security or access restrictions

• Scrape or automatically collect information from our services without authorization

• Use our services for fraudulent or deceptive purposes

• Upload or distribute unlawful content

MRH Labs may take reasonable action to protect its applications, users, and services from misuse.

5. User-Generated Content

Certain applications, including Reciply, may allow users to create, upload, publish, or share content.

This may include recipes, photographs, recipe cards, captions, profile information, comments, and other materials.

You retain ownership of content you create and submit, subject to the rights granted below.

By making content available through our services, you grant MRH Labs a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, format, distribute, and otherwise process that content as reasonably necessary to operate, provide, promote, and improve the applicable service.

This license does not transfer ownership of your content to MRH Labs.

You represent that you have the rights necessary to upload and share the content you submit.

6. Reciply Community Standards

When using Reciply's social features, users may not publish content that is unlawful, threatening, harassing, fraudulent, intentionally deceptive, infringing, or otherwise prohibited by these Terms.

Users should only upload photographs, recipes, written material, and other content they have the right to use.

MRH Labs may remove content or restrict accounts when reasonably necessary to enforce these Terms, comply with legal requirements, or protect users and the service.

Where applicable, Reciply may provide mechanisms for users to report inappropriate content or behavior.

7. Recipes and Food Information

Recipes and cooking information available through Reciply may be created by other users.

MRH Labs does not independently verify every recipe, ingredient, cooking method, nutritional claim, allergen statement, or food-safety instruction submitted by users.

Users are responsible for considering allergies, dietary restrictions, food preparation requirements, ingredient safety, and appropriate cooking practices.

Information provided through Reciply should not be considered medical, nutritional, or professional dietary advice.

8. Pill Party

Pill Party is an organizational and reminder application and is not a medical service.

Pill Party does not provide medical advice, diagnosis, treatment, prescriptions, medication recommendations, dosage recommendations, or emergency healthcare services.

Pill Party does not determine whether a medication, vitamin, supplement, or other substance is appropriate for a user.

Users are responsible for entering accurate reminder information and following instructions provided by their healthcare professionals, pharmacists, medication labels, or other appropriate sources.

Do not rely exclusively on Pill Party to determine whether or when you should take medication.

Notifications may fail, arrive late, be disabled, or otherwise become unavailable because of device settings, operating-system behavior, network conditions, battery conditions, application errors, or circumstances outside MRH Labs' control.

If you have questions concerning medication or your health, consult an appropriately qualified healthcare professional.

If you believe you are experiencing a medical emergency, seek appropriate emergency medical assistance rather than relying on Pill Party.

9. Productivity Score

Productivity Score provides task-management, scheduling, progress-tracking, accountability, and gamification features.

Scores, streaks, levels, statistics, achievements, and other productivity measurements generated by the application are intended solely as organizational and motivational tools.

They should not be interpreted as professional evaluations of productivity, employment performance, psychological health, intelligence, ability, or personal worth.

Users remain responsible for their own schedules, deadlines, commitments, and decisions.

10. Notifications and Reminders

Some MRH Labs applications may provide notifications, reminders, schedules, or alerts.

We do not guarantee that any notification will be delivered at a particular time or at all.

Users should not rely on an MRH Labs application as their sole means of remembering information where failure to remember could result in serious harm, financial loss, missed legal obligations, medical consequences, or other significant consequences.

11. Intellectual Property

Except for user-generated content and third-party materials, MRH Labs applications and their associated software, designs, interfaces, graphics, logos, names, text, functionality, and other materials are owned by or licensed to MRH Labs and are protected by applicable intellectual-property laws.

Your use of our applications does not grant you ownership of MRH Labs intellectual property.

You may not copy, reproduce, modify, distribute, sell, sublicense, reverse engineer, or commercially exploit our applications except where expressly permitted by law or authorized by MRH Labs.

12. Purchases and Subscriptions

Certain MRH Labs applications may offer paid features, subscriptions, or in-app purchases.

When purchases are processed through Apple's App Store or another application marketplace, payments and applicable refunds may also be governed by the terms and policies of that marketplace.

Subscription prices, billing periods, free trials, and renewal information will be displayed before purchase where applicable.

Unless otherwise stated or required by law, subscriptions may automatically renew until canceled.

Users can manage or cancel App Store subscriptions through their Apple account subscription settings.

Deleting an application does not necessarily cancel an active subscription.

13. Free Trials and Promotional Access

MRH Labs may offer free trials, promotional access, redemption codes, or other limited offers.

Eligibility and duration may vary.

Unless otherwise stated, a paid subscription may begin automatically when a free trial ends if the subscription has not been canceled before the applicable renewal deadline.

Promotional offers may be modified or discontinued where permitted by law.

14. Third-Party Services

Our applications may rely on third-party services for functionality such as authentication, cloud storage, hosting, analytics, media delivery, payments, or other infrastructure.

Your use of certain third-party services may also be governed by their respective terms and privacy policies.

MRH Labs is not responsible for third-party services to the extent permitted by applicable law.

15. Privacy

Your privacy is important to us.

Our collection and use of personal information is described in the MRH Labs Privacy Policy.

By using our services, you acknowledge that information will be handled as described in the applicable Privacy Policy and privacy disclosures.

16. Availability and Changes to the Services

We work to keep MRH Labs applications available and functioning properly, but we do not guarantee uninterrupted or error-free service.

Applications or individual features may occasionally be unavailable because of maintenance, technical problems, third-party service interruptions, updates, or circumstances outside our control.

We may modify, discontinue, replace, or introduce features over time.

Where required by applicable law, appropriate notice will be provided regarding material changes affecting paid services.

17. Disclaimer of Warranties

To the maximum extent permitted by applicable law, MRH Labs applications and services are provided on an “as is” and “as available” basis.

MRH Labs does not guarantee that an application will always be available, uninterrupted, error-free, secure, or suitable for every user's particular needs.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded under applicable consumer-protection law.

18. Limitation of Liability

To the maximum extent permitted by applicable law, MRH Labs will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of, or inability to use, our applications.

This may include loss resulting from missed reminders, missed tasks, lost content, interrupted service, reliance on user-generated content, or application errors.

Nothing in these Terms limits liability where such limitation is prohibited by applicable law.

19. Account Suspension and Termination

You may stop using our applications at any time.

Where an application supports accounts, you may request account deletion using the functionality provided within the application or through the methods described in our Privacy Policy.

MRH Labs may suspend or terminate access when reasonably necessary because of serious or repeated violations of these Terms, unlawful activity, security threats, fraud, abuse, or legal requirements.

20. Changes to These Terms

We may update these Terms as our applications, services, business, or legal obligations change.

When these Terms are updated, the Last Updated date will be revised.

For material changes, additional notice may be provided where appropriate or required by law.

Continued use of our services following an effective change constitutes acceptance of the updated Terms to the extent permitted by applicable law.

21. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except where applicable law provides otherwise.

Nothing in these Terms deprives consumers of protections provided by mandatory laws applicable in their jurisdiction.

22. Apple App Store

If you access an MRH Labs application through Apple's App Store, you acknowledge that these Terms are between you and MRH Labs, not Apple.

MRH Labs, rather than Apple, is responsible for the application and its content, subject to these Terms and applicable law.

Apple has no obligation to provide maintenance or support services for the application except as required by applicable law.

Your use of the application must comply with applicable App Store terms and policies.

Apple and its subsidiaries are intended third-party beneficiaries of these Terms with respect to your use of an iOS application and may enforce applicable provisions against you.

23. Entire Agreement

These Terms, together with the MRH Labs Privacy Policy and any additional terms presented for a particular service or purchase, constitute the agreement between you and MRH Labs regarding your use of the applicable services.

If any provision is determined to be unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
